1. Definitions & Interpretation
“IndiLinks”, “Company”, “We”, “Us”, “Our”Refers to IndiLinks Newslab Private Limited, its subsidiaries, affiliates, and assigned personnel.“Client”, “You”, “Your”Refers to the individual, company, or organization engaging IndiLinks’s services.“Services”Refers to all media production, digital marketing, branding, strategic communication, and consulting services offered by IndiLinks.“Deliverables”Refers to all creative outputs, media assets, strategic documents, and materials produced as part of the Services.“Project”Refers to a specific engagement governed by a separate Project Agreement referencing these Terms.“Intellectual Property”Refers to patents, copyrights, trademarks, trade secrets, and all other intellectual property rights.

IndiLinks provides comprehensive media and communication services through specialized verticals:

2.2 Digital Media & Strategy
- Digital marketing and social media management
- SEO and performance marketing
- Influencer marketing and community management
- Content strategy and distribution
2.3 Branding & Creative Services
- Corporate identity design and branding
- Strategic communication consulting
- Crisis communication management
- Integrated campaign management
2.4 Specialized Content
- Documentary filmmaking with journalistic rigor
- Defense and geopolitical analysis
- Government and public sector communication
- International market entry strategies

3. Client Responsibilities
Client agrees to:
3.1 Project Cooperation
- Provide accurate, complete, and timely information required for project execution
- Designate a single point of contact with decision-making authority
- Make timely decisions and provide necessary approvals at each project stage
- Provide access to necessary resources, personnel, and facilities
- Cooperate in good faith to enable successful project completion
3.2 Content and Materials
- Provide all required content, materials, and assets in agreed formats and timelines
- Ensure all provided materials are legally owned or licensed for use
- Obtain necessary permissions, releases, and clearances for individuals, locations, and content
- Verify accuracy of all information provided
Government & Defense Projects: For projects involving government agencies, defense organizations, or sensitive industries, additional protocols apply including security clearances, restricted access areas, specialized equipment handling, and compliance with specific regulatory requirements as detailed in project-specific agreements.
4. Intellectual Property Rights
4.1 Client Materials
Client retains all rights to materials provided to IndiLinks. Client grants IndiLinks a limited license to use such materials solely for project execution.
4.2 IndiLinks Background IP
IndiLinks retains all rights to pre-existing intellectual property, including:
- Proprietary methodologies, processes, and workflows
- Software, tools, and technology platforms
- Research databases and analytical frameworks
- Training materials and operational systems
4.3 Project Deliverables
Upon full payment of all fees, Client receives:
Ownership Transfer: All final Deliverables created specifically for the Client become Client property, subject to the following:
- IndiLinks retains the right to showcase completed work in its portfolio and marketing materials
- IndiLinks retains rights to underlying concepts, frameworks, and methodologies
- Third-party assets (stock footage, music, fonts) may be subject to separate licenses
- Source files may be provided at additional cost as specified in Project Agreement
5. Fees & Payment Terms
5.1 Fee Structure
Fees are determined based on:
- Project scope, complexity, and deliverables
- Timeline and urgency requirements
- Resource requirements (crew size, equipment, locations)
- Rights and usage requirements
All fees are specified in the Project Agreement and are exclusive of taxes, which will be added as applicable.
Standard Payment Schedule
- 50% Advance: Due upon signing Project Agreement to commence work
- 30% Progress Payment: Due upon delivery of first edit/review materials
- 20% Final Payment: Due upon project completion and delivery of all final assets
Note: For government projects, payment terms may follow specific procurement regulations.
5.2 Additional Costs
Client is responsible for additional costs including but not limited to:
- Travel, accommodation, and per diems for location shoots
- Equipment rentals beyond standard inventory
- Talent fees, location fees, permits
- Stock footage, music, font licenses
- Third-party services and subcontractors
5.3 Late Payments
Late payments incur interest at 1.5% per month or the maximum rate allowed by law. IndiLinks reserves the right to suspend work and withhold Deliverables until payment is received.
6. Confidentiality
Both parties agree to maintain confidentiality of all proprietary information shared during the engagement, including:
- Business strategies, financial information, and trade secrets
- Creative concepts, unpublished work, and proprietary methodologies
- Client lists, market research, and competitive intelligence
- Project details, timelines, and budgets
Confidentiality obligations survive termination of the Project Agreement for 5 years.
Enhanced Confidentiality for Sensitive Projects: For government, defense, and high-security projects, additional confidentiality measures apply including background checks, secure data rooms, encrypted communications, and specialized destruction protocols for sensitive materials.
7. Representations & Warranties
7.1 IndiLinks Warranties
IndiLinks represents and warrants that:
- Services will be performed with reasonable skill and care
- Deliverables will conform to specifications in Project Agreement
- It has necessary rights to perform services and grant licenses
- Work will not knowingly infringe third-party intellectual property rights
7.2 Client Warranties
Client represents and warrants that:
- It has authority to enter into the agreement
- All provided materials are legally owned or licensed
- Content does not infringe third-party rights
- It will comply with all applicable laws and regulations
7.3 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES ARE PROVIDED “AS IS”. INDILINKS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE.
8. Liability & Indemnification
8.1 Limitation of Liability
IndiLinks’s total liability for any claim shall not exceed the total fees paid by Client for the specific Project giving rise to the claim. IN NO EVENT SHALL INDILINKS BE LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
8.2 Client Indemnification
Client agrees to indemnify and hold harmless IndiLinks from any claims arising from:
- Client-provided materials or information
- Client’s breach of these Terms
- Client’s use of Deliverables
- Third-party claims related to Client content
9. Termination
9.1 Termination for Cause
Either party may terminate for material breach with 30 days written notice if breach remains uncured.
9.2 Termination by Client
Client may terminate at any time with written notice. In such case:
- Client pays for all work completed up to termination date
- Client pays for all non-cancelable commitments
- Termination fees may apply based on project stage (typically 25-50% of remaining fees)
- IndiLinks delivers work-in-progress materials
9.3 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control including natural disasters, war, terrorism, government actions, or pandemics.
10. General Provisions
10.1 Governing Law
These Terms shall be governed by the laws of India, without regard to conflict of law principles.
10.2 Dispute Resolution
Any disputes shall be subject to the exclusive jurisdiction of courts in Hyderabad, Telangana. Parties agree to attempt mediation through a mutually agreed mediator before pursuing litigation.
10.3 Assignment
Client may not assign rights or obligations without IndiLinks’s written consent. IndiLinks may assign to affiliates or successors.
10.4 Entire Agreement
These Terms, together with the Project Agreement, constitute the entire agreement between parties regarding the Services.
10.5 Amendments
These Terms may be amended by IndiLinks with 30 days notice. Continued use of Services constitutes acceptance of amended Terms.
10.6 Severability
If any provision is found invalid or unenforceable, remaining provisions remain in full force.
